Terms of Service

These Terms of Service (“Terms”) govern your access to and use of easyerp.ai (the “Service”). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & age

The Service contains adult, sexually explicit material and is intended solely for adults. You must be at least 18 years old, and of the age of majority in your jurisdiction, to use the Service. By using the Service you represent and warrant that you meet these requirements, and you agree to complete age verification where prompted. We may restrict or terminate access where we reasonably believe a user is a minor.

2. Your account

You are responsible for the information you provide, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. One person may not maintain multiple accounts to evade suspensions or limits.

3. Acceptable use & prohibited content

You agree not to create, upload, request, or distribute any content, character, or message that:

• sexualizes, depicts, or describes minors in any form, real or fictional, including “age-play” framed as minors. This is strictly prohibited and will be reported to the appropriate authorities;
• depicts a real, identifiable person in a sexual or defamatory manner without their consent, or impersonates a real person;
• depicts non-consensual real-world sexual violence presented as real, content that promotes terrorism, human trafficking, or other serious crimes;
• reproduces the text, artwork, or other material of another person’s work — including another creator’s character definition or character card — without permission, or otherwise infringes another party’s privacy rights;
• harasses, threatens, defames, or doxxes others, or distributes malware or spam; or
• attempts to scrape, enumerate, reverse-engineer, overload, or circumvent the access controls, rate limits, or security of the Service.

All characters and scenarios are works of fiction between consenting adult users and fictional personas.

4. Characters based on existing works

The Service permits fan portrayals of characters from published works — games, anime, film, television, books, and similar media — subject to the rest of these Terms. This is a change from earlier versions of these Terms, which prohibited them outright.

When you publish a character based on an existing work, you agree that:

• The character must be an adult in the source work, and must not be depicted as a child or adolescent. Characters who are canonically minors are prohibited outright, whatever the content. A character who is described as ancient, immortal, or otherwise long-lived, but who is presented in the source work with the body, voice, or role of a child or adolescent, is treated as a minor under these Terms and under Section 3. This rule is not waivable and we enforce it on sight;
• you write the character in your own words. You may draw on facts about the source work — names, settings, relationships, established history — but you may not copy another creator’s character definition, description, example dialogue, or other text, and you may not upload artwork you do not have the right to use;
• your character is an unofficial, non-commercial fan work. It is not endorsed by, affiliated with, or sponsored by any rights holder, and you will not present it as official or imply any such relationship;
• we may remove any such character at any time, including at the request of a rights holder, without any obligation to restore it; and
• you accept responsibility for your own submissions. Permitting fan works under these Terms is our editorial policy for this Service; it is not legal advice, and it is not a determination that any particular use is lawful in your jurisdiction.

Rights holders who wish to have material removed should follow Section 11, or write to legal@easyerp.ai. We act on good-faith requests from rights holders and their representatives.

5. Your content & license

You retain ownership of what you write and of the images you upload (“Your Content”), to the extent it is yours to own. You represent that Your Content is your own original work or is otherwise yours to submit, that you hold the rights necessary to grant the license below, and that Your Content does not violate these Terms. You grant easyerp.ai a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process Your Content solely to operate, secure, and improve the Service — including sending prompts and messages to our AI provider(s) to generate responses. Content you mark public may be displayed to other users; content you mark private is visible only to you, except as needed to operate the Service or comply with law.

Nothing in this section gives you, or claims for us, any ownership of characters, settings, or other material belonging to a rights holder. Those rights remain with their owners.

6. AI-generated content

Responses are generated by automated language models and are fictional. They may be inaccurate, offensive, or inconsistent, and do not represent the views of easyerp.ai. Where a character is based on an existing work, its dialogue is invented by a language model and is not written, approved, or reviewed by any rights holder. AI output is not professional advice (medical, legal, financial, or otherwise). You are solely responsible for how you use any output.

7. Moderation & enforcement

We may, but are not obligated to, review content and may remove, hide, or limit any content, and warn, suspend, or terminate any account, that we believe violates these Terms or applicable law. We may cooperate with law enforcement and disclose information where required. Violations of the prohibition on minors in Section 3 or Section 4 result in immediate removal and account termination.

8. Subscriptions & payments

Some features may require a paid subscription. Pricing and billing terms are presented at the point of purchase. Subscriptions renew automatically until cancelled; you can cancel at any time, effective at the end of the current billing period. Except where required by law, payments are non-refundable.

9. Intellectual property

The Service, including its software, design, and trademarks, is owned by easyerp.ai and protected by law. These Terms grant you no rights to our marks or software except the limited right to use the Service as permitted here.

Character names, settings, and other elements of published works referenced on the Service belong to their respective owners. They are used here by users creating unofficial fan works, and their appearance on the Service does not imply any affiliation with or endorsement by those owners.

10. Reporting content

Any user can report a character or account from the report control on its page. Reports about minors, real-person content, or threats are prioritised. You can also write to support@easyerp.ai.

11. Copyright (DMCA)

We respond to copyright complaints under the Digital Millennium Copyright Act and comparable laws. Send notices to our designated agent at dmca@easyerp.ai.

A valid notice must include:

• identification of the copyrighted work you claim has been infringed, and of the material you want removed, with enough detail for us to locate it (a direct link is best);
• your name, address, telephone number, and email address;
• a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law;
• a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and
• your physical or electronic signature.

We remove or disable access to material that is the subject of a valid notice and take reasonable steps to notify the user who posted it. If you believe your material was removed in error, you may send a counter-notice to the same address including your contact details, identification of the removed material and where it appeared, a statement under penalty of perjury that you believe in good faith it was removed as a result of mistake or misidentification, and your consent to the jurisdiction of a court of competent jurisdiction. We may restore the material as permitted by law.

Repeat infringers. We maintain a policy of terminating, in appropriate circumstances, the accounts of users who repeatedly infringe the rights of others.

12. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

13. Limitation of liability

To the maximum extent permitted by law, easyerp.ai will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of the Service. Our total liability for any claim is limited to the greater of the amount you paid us in the twelve months before the claim or USD 100.

14. Indemnification

You agree to indemnify and hold harmless easyerp.ai from claims, damages, and expenses (including reasonable legal fees) arising from Your Content or your breach of these Terms or of applicable law. This includes claims brought by a rights holder in connection with a character you published under Section 4.

15. Termination

You may stop using the Service and delete your account at any time from Settings → Account. We may suspend or terminate access for violations of these Terms or applicable law. Sections that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitation of liability) will survive.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the date above and, where appropriate, by notice in the Service. Continued use after changes take effect constitutes acceptance.
